Success of Axens Takeover Bid on Heurtey Petrochem shares

Axens announces the successful outcome of its tender offer on the Heurtey Petrochem shares. The results of this offer were published today by the Autorité des marchés financiers (the AMF, the French capital market regulator).

A total of 2,374,874 Heurtey Petrochem shares were validly tendered to the offer, which took place from December 1st, 2016 to January 5th, 2017.

At the settlement date of the tender offer set on January 13, 2017, Axens will hold in concert with IFP Investissements a total of 4,144,659shares and 4,219,159voting rights of Heurtey Petrochem, representing 84.33% of the share capital and 83.55% of the voting rights[1].

Pursuant to Article 232-4 of the AMF General Regulations, the tender offer will be reopened for a period of ten trading days; the timetable will be published shortly by the AMF. The offer price will remain the same (25 euros per share). This reopening will offer shareholders who have not yet tendered their shares an opportunity to do so at this time.

The offer document related to the takeover bid on Heurtey Petrochem shares approved by the AMF on November 29th, 2016 (visa no. 16-557) and the document « Informations relatives aux caractéristiques notamment juridiques, financières et comptables » related to Axens are available on the websites of the AMF (www.amf-france.org) and of Axens (www.axens.net).

[1]On the basis of a share capital of  4,914,725 shares representing 5,049,572 voting rights in accordance with article 223-11 paragraph 2 of the General Regulations of the AMF as at 31 December 2016, as published by Heurtey Petrochem.
