Axens Takover Bid on Heurtey Petrochem: Results of the second period Offer
Following the reopening of the tender offer (the Offer) between January 16th and 27th, 2017, Axens now holds in concert with IFP Investissements, a total of 4,354,286 shares and 4,428,786 voting rights of Heurtey Petrochem, representing 88,6% of the share capital and 88.3% of the voting rights[1]. The settlement date of the Offer will take place on February 6th, 2017.
Axens is pleased with this result which now permits building a new group together with the Heurtey and Prosernat teams.
IFP Investments have commited that following the Offer, it will transfer to Axens 1,769,785 shares that it holds in Heurtey Petrochem representing 36% of the share capital and 36,8% of the voting rights of the Company.
Furthermore, IFP Investments confirms its intention to transfer to Axens its 50% holding of Eurecat so as to consolidate Axens position in the field of services associated to the sale of catalysts (global offer of new and regenerated catalysts).
This transfer together with the grouping of Axens and Heurtey Petrochem gives birth to the new reference technological industrial group, specializing in clean fuels and eco-efficient technologies, present in the refining, petrochemical, natural gas, biofuels and renewable chemical intermediates sectors, right at the heart of energy transformation.
The offer document related to the takeover bid on Heurtey Petrochem shares approved by the AMF on November 29th, 2016 (visa no. 16-557) and the document « Informations relatives aux caractéristiques notamment juridiques, financières et comptables » related to Axens are available on the websites of the AMF (www.amf-france.org) and of Axens (www.axens.net).
